Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and Zeo Platforms, Inc. ("we," "us," or "our"), the operator of the Zeo.link website, platform, and related services (collectively, the "Service"). By accessing or using the Service, creating an account, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. We may refuse service or terminate accounts at our discretion, including for failure to meet eligibility.

3. Accounts and Registration

To use certain features, you must register and maintain an account. You agree to provide accurate, current, and complete information and to update it as needed. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us promptly of any unauthorized use. We are not liable for losses arising from unauthorized account use.

4. Description of the Service

The Service provides a platform that allows users to: create and customize personal link pages with profile information, links, and media; offer schedulable sessions (e.g., consultations, chats) and set rates for bookings; receive bookings, tips, and gifts from other users, with payments processed through third-party payment providers; subscribe to paid plans for additional features and higher limits; upload and manage media (images, etc.) for use on link pages; use contact forms and messaging features in connection with link pages; access analytics related to link pages and content; generate and use QR codes that link to their pages; and use wallet and transaction history for payouts and records. We may add, change, or discontinue features at any time. We do not guarantee availability or uninterrupted access.

5. Payments, Fees, and Refunds

Payment processing. Payments for bookings, tips, gifts, subscriptions, and other paid features are processed by Stripe (or other payment providers we designate). Your use of paid features is subject to Stripe's terms and our payment policies. You authorize us to charge your chosen payment method in accordance with your selections and these Terms.

Fees. We may charge platform fees (e.g., on bookings, gifts, or subscriptions) as disclosed at the time of purchase or in your account. Fees are non-refundable except as required by law or as stated in our Refunds Policy.

Payouts. Payouts to creators may be made via Stripe Connect or other designated methods, subject to verification and our policies. We may withhold or delay payouts for compliance, disputes, or risk reasons.

Refunds. Refund requests are handled in accordance with our Refunds Policy. Chargebacks and disputes may be addressed as described in our Disputes Policy.

6. User Content, Livestreams, and User Interactions; Waiver of Liability

The Service enables users to share content, schedule and conduct livestreams, live chats, and other interactions, and to share or record video and other media. You acknowledge and agree as follows:

• No liability for user content or conduct. Zeo Platforms, Inc. and Zeo.link are not responsible for the views, opinions, content, or conduct of any user. We do not endorse, monitor, or control the content of livestreams, chats, messages, recorded videos, or any other user-generated content or interactions on the platform.
• Events during interactions. We are not liable for any events, incidents, injuries, damages, or losses that occur during or as a result of livestreams, live chats, messages, recorded videos, bookings, or any other interactions between users or between users and third parties. All such interactions are solely between the participating users and/or third parties. You participate at your own risk.
• Waiver. By creating an account and agreeing to these Terms, you expressly waive any and all claims against Zeo Platforms, Inc., Zeo.link, and their affiliates, officers, directors, employees, and agents arising from or related to user content, livestreams, chats, messages, recorded videos, or any other interactions on or through the platform. You agree that we shall not be liable for any indirect, incidental, special, consequential, or punitive damages in connection with such content or interactions.

Nothing in these Terms limits or excludes our liability where such limitation or exclusion is prohibited by applicable law.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to: violate any applicable law, regulation, or third-party rights; infringe intellectual property, privacy, or other rights of others; post false, misleading, defamatory, or harmful content; harass, abuse, or harm others or promote violence or discrimination; transmit malware, spam, or use automated means to scrape or overload the Service; circumvent security, access controls, or fee structures; or resell or commercially exploit the Service beyond normal use without our consent. We may suspend or terminate accounts and remove content that we reasonably believe violates these Terms or poses risk to users or the Service.

8. Intellectual Property

The Service (including design, code, logos, and materials we provide) is owned by Zeo Platforms, Inc. or our licensors. We grant you a limited, non-exclusive, revocable license to use the Service for its intended purpose. You retain ownership of content you submit; you grant us a worldwide, non-exclusive, royalty-free license to use, host, and display that content as needed to operate and improve the Service. You represent that you have the rights to grant this license for all content you submit.

9. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access for violation of these Terms, non-payment, risk or compliance reasons, or at our discretion. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including payments, liability limits, indemnification, and dispute resolution) will survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Zeo Platforms, Inc. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow certain limitations; in such cases our liability is limited to the maximum permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Zeo Platforms, Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your content or conduct, (c) your violation of these Terms or any law, or (d) any dispute between you and another user or third party.

13. Disputes and Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Our Refunds Policy and Disputes Policy apply to payment and transaction disputes.

14. Changes to the Terms

We may update these Terms from time to time. We will post the revised Terms on the Service and update the "Last updated" date. Material changes may be communicated by email or notice in the Service. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and may close your account.

15. General

These Terms, together with our Privacy Policy, Refunds Policy, and Disputes Policy (where applicable), constitute the entire agreement between you and Zeo Platforms, Inc. regarding the Service. Our failure to enforce any right or provision is not a waiver. If any provision is held invalid, the remaining provisions remain in effect. We may assign our rights and obligations; you may not assign without our prior written consent.
